WHOLESALE ACCOUNT TERMS & CONDITIONS

1. ELIGIBILITY & APPLICATION

Wholesale accounts are available to qualified businesses, including but not limited to: independent retailers, beauty supply stores, salons, barbershops, gift shops, and resellers. All wholesale account applicants must provide: (a) proof of business entity (LLC, corporation, sole proprietorship); (b) valid Texas sales tax exemption certificate or equivalent; (c) business address; and (d) estimated monthly purchase volume.

Xotic Perfumes reserves the right to approve or deny wholesale applications at our sole discretion. Approval is not guaranteed.

2. PRICING & MINIMUM ORDERS

Wholesale pricing is available upon account approval. Prices are subject to change with 30 days' written notice. Minimum opening order: $500. Minimum reorder: $250. All wholesale prices are net of applicable discounts and must be paid before shipment unless Net-30 terms have been established.

3. AUTHORIZED RESALE

Wholesale products may be resold only through your approved retail channels disclosed at time of application. Online resale (Amazon, eBay, TikTok Shop, your own website) requires separate written authorization. You may not resell Xotic Perfumes products to other wholesalers or resellers without written consent. Violations may result in immediate account termination.

4. MAP POLICY (MINIMUM ADVERTISED PRICE)

Where applicable (particularly for brands with stated MAP policies such as Lattafa), you agree to honor the Minimum Advertised Price policies of the brands you resell. Advertising below MAP may constitute a breach of these Terms and may result in termination of your account.

5. AUTHENTICITY WARRANTY

Xotic Perfumes warrants that all products supplied are 100% authentic as received from our authorized supply chain. You agree to accurately represent products as authentic to your end customers. Misrepresentation of product authenticity is grounds for immediate account termination and may expose you to legal liability.

6. PAYMENT TERMS & CREDIT

New accounts: payment in full required before shipment (COD or credit card). After two on-time paid orders, you may apply for Net-15 or Net-30 credit terms. Credit terms are granted at our discretion. Overdue accounts accrue interest at 1.5% per month on outstanding balances. Accounts delinquent beyond 60 days may be referred to collections.

7. ACCOUNT TERMINATION

We reserve the right to terminate any wholesale account, with or without cause, upon written notice. Upon termination, all outstanding balances are immediately due and payable. Products already shipped are non-returnable upon account termination.
